Agreement to these terms

These Terms and Conditions (“Terms”) govern your access to and use of the Orchestrik platform, including the website at orchestrik.ai, managed SaaS services, on-premise software, APIs, and related documentation (collectively, the “Service”), provided by ITMTB Technologies Private Limited (“ITMTB”, “we”, “us”).

By creating an account, using the Service, or clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation, and “you” refers to that organisation.

Acceptable use

You may use the Service for lawful business purposes in accordance with these Terms and applicable law. You agree not to:

  • Use the Service to process data in violation of applicable data protection laws, including the DPDPA 2023.
  • Attempt to reverse engineer, decompile, or extract source code from the Service.
  • Introduce malware, conduct denial-of-service attacks, or attempt unauthorised access to any system.
  • Resell, sublicense, or provide third-party access to the Service without a written partner agreement with ITMTB.
  • Use the Service to build a competing product or benchmark the Service for publication without our written consent.
  • Remove or obscure any proprietary notices, branding, or attribution within the Service.

We reserve the right to suspend or terminate access if we reasonably believe these terms are being violated.

Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@itmtb.com if you suspect unauthorised access.

You must provide accurate registration information and keep it up to date. Accounts may not be shared between individuals unless explicitly permitted under your plan.

Intellectual property

Your data is yours. All data you upload, process, or generate through the Service — including agent execution data, connector outputs, documents, and audit logs — remains your property. We do not acquire any rights in your data by virtue of processing it.

We do not use your data or your agents' execution data to train any AI or machine learning model, including third-party models. Your data is processed solely to deliver the Service.

The Orchestrik platform, software, and documentation are owned by ITMTB Technologies and protected by intellectual property law. These Terms do not grant you ownership of any platform component.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free right to use that feedback to improve the Service.

Service availability

We aim to maintain high availability for the managed SaaS tier but do not provide a contractual uptime SLA under the Starter or Growth plans. Enterprise plans include uptime commitments defined in the order agreement.

We may perform scheduled maintenance with advance notice where possible. We are not liable for downtime caused by third-party services (including cloud infrastructure providers or LLM inference providers), internet outages, or events outside our control.

For on-premise deployments, you operate the infrastructure and are responsible for availability. We provide software updates and support as defined in your agreement.

Payment and billing

Subscription fees are billed monthly or annually in advance as specified in your plan. Usage charges (agent calls, storage, grounding) are billed in arrears based on metered consumption.

Invoices are payable within 14 days. Late payment may result in suspension of access. All fees are exclusive of applicable taxes, including GST, which will be added where required.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods unless required by applicable law.

Confidentiality

Each party agrees to keep the other's confidential information — including pricing, product roadmaps, customer data, and business processes — strictly confidential and not to disclose it to third parties without prior written consent.

Confidentiality obligations do not apply to information that: is or becomes publicly available through no fault of the receiving party; was already known to the receiving party; was independently developed; or must be disclosed by law, provided the disclosing party gives prior written notice where legally permitted.

Limitation of liability

To the maximum extent permitted by applicable law, ITMTB's total liability to you for any claim arising under or in connection with these Terms or the Service shall not exceed the fees paid by you to ITMTB in the 12 months preceding the claim.

ITMTB shall not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, data, or business opportunity — even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

The Service is provided 'as is' with respect to third-party components, including LLM inference providers. We do not warrant the accuracy, completeness, or fitness for purpose of AI-generated outputs. You are responsible for reviewing agent actions and outputs before acting on them.

Termination and data export

Either party may terminate these Terms by providing written notice. On termination: your access to the Service will cease at the end of the notice period; your data will be retained for 30 days during which you may export it; after 30 days, data will be permanently deleted.

We may terminate or suspend access immediately if you materially breach these Terms, fail to pay amounts due, or if we are required to do so by law.

Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice within the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
